Terms of Service

1. This agreement

These terms are between you and Mondovo, Inc., a Delaware corporation with a mailing address at 10685-B Hazelhurst Dr #12282, Houston, Texas 77043, United States. By creating an account or using the service you accept them. If you are accepting on behalf of a company, you confirm you may bind it, and "you" means that company.

Our Privacy Policy explains how we handle personal data and forms part of this agreement.

2. What the service is

Mondovo is a platform for designing, publishing and managing websites. You give it a brief, an existing website address or a document; it produces complete website designs; you refine them, publish to a domain, and manage the site afterwards, including the enquiries it collects.

We add and change features. We will not remove something you depend on without notice where we can avoid it, but the service is not frozen at the state you signed up to.

3. Your account

You are responsible for what happens under your account, including what your team members do. Give us accurate registration details, keep your credentials secure, and tell us promptly if you think someone else has access.

One person may not share a single account with others in place of team seats, and you may not sell or transfer your account credentials. You must be at least 18 and old enough to enter a contract where you live.

4. Plans, billing and live sites

Drafts are free. You pay for sites that are published.

The Pro plan is Loading pricing… per month for each live site. The first live site is included in the first Loading pricing… and every additional live site is another Loading pricing… per month. Charging for a site begins when you publish it.

Pro includes three team members. Additional seats are Pricing unavailable per month each. The Agency add-on is Pricing unavailable per month, flat, whatever number of sites you run, and is what enables white-label delivery, API access and the outreach tools.

The free plan allows one published site on a Mondovo subdomain. Publishing to your own or a client's domain requires a live site on Pro.

• Subscriptions are billed in advance at the start of each billing period, monthly or annually depending on your plan, and renew automatically until you cancel.
• Prices are in US dollars and exclude any taxes we are required to collect.
• We may change our prices. A change takes effect from your next billing period after we have told you about it.
• If a payment fails we will contact you. If it remains unpaid, sites on the account may be taken offline until it is settled.

5. Fair use

Plans are priced for the way websites are normally built and run. We do not charge for traffic: there is no page-view or bandwidth limit on a live site.

Some uses consume far more of the platform than a typical site does — for example a site carrying a very large collection of listings, products or posts, publishing far more often than normal, or generating content in bulk through automation. If a site's use is well beyond what is typical for its plan, we will contact you before taking any action, explain what we are seeing, and agree a way forward with you, which may be a change to how the site is set up, a larger plan or an add-on.

While we do that, we may schedule heavy background work on that site — such as rebuilding a very large number of pages — more slowly than usual, so that one site does not affect others. Your published site stays online while we talk.

This section does not replace Acceptable use: abuse, attacks and attempts to work around the platform's limits are handled there.

6. Cancelling, and what happens to the money

You can cancel at any time, and you can take an individual site offline at any time, from your workspace.

When you unpublish a site, charging for that site stops. The current billing period is not refunded — you have had the site live for it. The site itself stays in your workspace as a draft, so you can publish it again later without rebuilding it.

We do not give refunds for periods already paid. If we have got something badly wrong, write to us and we will look at it.

7. Ownership, your content and your clients' sites

Mondovo, the software that runs it, and the templates, components, models and other material we provide as part of the service belong to us or our licensors and are protected by intellectual property law. Using the service does not give you ownership of any of it. You may not copy, modify or create derivative works of the platform itself without our written permission.

You keep ownership of everything you bring — your briefs, copy, images, brand and data — and of the websites you create with the service. We claim no ownership of them.

You give us the permission we need to run the service: to store, copy, process and publish your content, and to send it to the providers described in the Privacy Policy so that a design can be generated or a site served. This permission ends when you delete the content or close your account, except for copies in routine backups.

You are responsible for having the right to use what you upload, and for what your published sites say and do. If you build sites for clients, that includes their legal obligations — their privacy notice, their cookie or consent banners, and the accuracy of the claims on their site.

If you are an agency, you may build and deliver websites for your clients on any plan. Delivering the service under your own brand — white-label — requires the Agency add-on. Either way you remain responsible for your clients' use of what you deliver and for their compliance with these terms, you support your own clients, and any white-label rights end when the add-on is cancelled. 8. Generated designs and content

Designs, copy and images produced by the service are generated by AI models. They are not checked by a person before you see them, they can contain mistakes, and similar output may be produced for someone else.

Review generated work before publishing it, particularly prices, statistics, legal or medical claims, and anything a customer might act on. Once you publish a site, what it says is yours.

Where the service generates images, you are responsible for making sure the result is suitable for the use you put it to.

9. Acceptable use

You may not use Mondovo to:

• Publish anything unlawful, harmful or offensive, or anything that infringes someone else's rights.
• Impersonate a person or organisation, or publish content designed to deceive people about who they are dealing with.
• Distribute malware, run phishing, or collect credentials or payment details under false pretences.
• Send spam or other unsolicited communications, including unsolicited bulk email through the outreach tools, or messages that breach the law that applies to the recipient.
• Attack, overload, probe or reverse-engineer the platform, try to gain unauthorised access to it or to related systems, or work around its limits.
• Access the service through bots or scrapers, or extract data from it in bulk, other than through our published API, MCP connector and integrations used as documented.
• Copy or reproduce our models, prompts, templates or proprietary technology, or use the service to build or train a competing product.
• Resell or sublicense access to the platform as if it were your own product, create accounts for third parties as a commercial service, or offer it white-labelled, unless you have the Agency add-on or we have agreed otherwise in writing.

We may remove content or suspend an account that breaches this section. Where the breach is serious or repeated, we may close the account.

10. Domains and connected services

Connecting a domain, a messaging channel or another third-party service means you are also bound by that provider's terms, and we are not responsible for what they do or for their availability.

You are responsible for keeping any domain you connect registered and pointed at us. If it lapses, the site stops being reachable through it.

11. Text messaging

Mondovo account texts. If you give us your mobile number and opt in, Mondovo, Inc. sends you account and service text messages: sign-in and verification codes, alerts about new enquiries and bookings, and notices about your sites and account. Message frequency varies with your account activity. Message and data rates may apply. Reply STOP to cancel at any time; you will receive one message confirming the opt-out and no further texts unless you opt in again. Reply HELP for help, or contact support@mondovo.com. Mobile carriers are not liable for delayed or undelivered messages. Opting in is not a condition of any purchase.

Texts sent from your sites. If you turn on text messaging for a site, the messages it sends — reminders, enquiry replies, follow-ups and any marketing you choose to send — are sent in your business's name, and you are the sender. You must:

• Obtain each recipient's prior consent of the kind the law requires before texting them — express written consent for marketing messages — and keep a record of it.
• Identify your business in your messages, honour STOP and other opt-out requests promptly, and send only during the hours the law allows for the recipient.
• Give us accurate business details for carrier registration, and keep them current. Carriers may block or delay messages from businesses whose registration is incomplete or inaccurate.
• Comply with the Telephone Consumer Protection Act, CTIA messaging guidelines, carrier policies and any other messaging law that applies to you and your recipients.
• Not send content carriers prohibit, including content about illegal goods, hate speech, sexual content, or the sale of firearms, tobacco, cannabis or alcohol where it is not permitted.

Carrier registration fees, phone number fees and per-message charges are passed through at cost and are shown to you before you turn text messaging on. We may pause a site's text messaging if carriers flag it, if opt-out or complaint rates are unusually high, or if we believe it breaches this section.

12. YouTube publishing

Mondovo's optional YouTube publishing integration uses YouTube API Services. By using it, you agree to be bound by the YouTube Terms of Service, and Google's handling of data is described in the Google Privacy Policy.

You must own, or have permission to upload, the videos you submit, and give accurate audience and synthetic-media disclosures. Scheduling starts delivery at the time you choose; network transfer and YouTube's own processing may delay when a video becomes available. Google or YouTube may restrict uploads to private visibility until the relevant project has received the approval they require.

13. Availability

We work to keep the service and the sites it publishes available, but we do not promise uninterrupted or error-free operation. Maintenance, provider outages and faults happen.

We publish sites as static pages on a content delivery network so that a problem with the Mondovo application does not usually take a published site offline.

14. Suspension and termination

You may stop using the service at any time by closing your account. We may suspend or close an account for a breach of these terms, for non-payment, where your use puts other customers or the platform at risk, or where we are required to by law. Fair use is handled as described in that section, by talking to you first.

When an account is closed your right to use the service ends, and prepaid fees are not refunded. Export what you need before you close your account. After closure we delete your data on the timetable in the Privacy Policy, and it cannot be recovered afterwards.

15. Disclaimers

Except where the law says otherwise, the service is provided as it is and as available, without warranties of any kind — including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, and any warranty that it will be uninterrupted, secure or error-free.

We do not warrant that generated content will be accurate, unique, or fit for a particular client or market.

16. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue, goodwill or data. This applies to Mondovo's affiliates, officers, employees and agents as well as to Mondovo.

Our total liability arising out of or relating to the service in any twelve-month period is limited to the amount you paid us in the twelve months before the claim arose.

Nothing here limits liability that cannot lawfully be limited.

17. Indemnity

You will defend and indemnify us, and our affiliates, officers, employees and agents, against claims, losses and reasonable legal costs arising from the content you publish, from your use of the service in breach of these terms, from your infringement of someone else's rights, and from your obligations to your own clients.

18. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, and the state and federal courts sitting in Delaware have exclusive jurisdiction — except that either party may seek injunctive relief wherever it is needed to protect its rights.

19. Changes to these terms

We may update these terms. The date at the top is the version in force. If a change materially affects your rights we will tell you before it takes effect, and continuing to use the service afterwards means you accept it. If you do not, you may cancel.

20. General

These terms, with the Privacy Policy, are the whole agreement between us about the service. If a provision is unenforceable, the rest stays in force. Not enforcing something once does not waive it. You may not transfer this agreement without our consent; we may transfer it to a successor to our business.
